BY ACQUIRING, HOLDING, OR USING THE TOKEN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPTED ALL THE RISKS AND DISCLAIMERS OUTLINED HEREIN.   1. Nature of the Token: For Entertainment, Social, and Cultural Purposes Only; NOT a Financial Investment.
    • The $ICED token is a meme coin crypto asset created and intended SOLELY for entertainment, social interaction, community engagement, and cultural expression, including as a digital collectible.
    • $ICED IS NOT A FINANCIAL INVESTMENT. It is not a security, share, stock, bond, note, equity, debt instrument, or any form of financial instrument or investment product. You should NOT acquire or hold $ICED with any expectation of profit, appreciation in value, financial return, income, or any other pecuniary gain.
    • The creators, promoters, and affiliates of $ICED (collectively, "the Promoters") will NOT undertake efforts or actions designed to increase the monetary value of the Token for the purpose of generating a return for holders. Any value the Token may have is incidental to its entertainment and cultural purpose.
  1. No Expectation of Profit from the Efforts of Others; Value Driven by Market Speculation.
    • You acknowledge that any expectation of profit or increase in the value of $ICED is NOT derived from the entrepreneurial or managerial efforts of the Promoters or any third party acting on their behalf.
    • The value of $ICED, if any, is driven primarily by speculative trading, market demand, community sentiment, and factors external to any efforts of the Promoters, similar to how the value of physical collectibles is determined.
    • The Promoters' efforts are limited to activities typical of meme coin promotion, such as fostering an online community, raising awareness of the Token for its entertainment and cultural purposes, and facilitating its listing on trading platforms for accessibility. These efforts are not intended to, and should not be expected to, generate profits for Token holders.
  1. No Common Enterprise.
    • Acquiring $ICED tokens does NOT represent an investment of money in a common enterprise. Funds used to acquire Tokens are not pooled for the purpose of developing the Token, its platform, or any related business venture by the Promoters from which you could expect profits.
  1. Highly Speculative and Extreme Volatility; Risk of Total Loss.
    • The $ICED token is a HIGHLY SPECULATIVE digital asset. Its price can experience EXTREME AND UNPREDICTABLE FLUCTUATIONS over short periods. There is a substantial risk that the value of the Token could decline significantly, POTENTIALLY TO ZERO.
    • YOU MAY LOSE ALL OF THE MONEY OR OTHER ASSETS USED TO ACQUIRE $ICED TOKENS. You should only acquire $ICED with funds that you can afford to lose entirely without impacting your financial well-being. Past performance of $ICED or similar tokens is not indicative of future results.
  1. Lack of Inherent Utility or Functionality.
    • The $ICED token has NO INHERENT UTILITY, FUNCTIONALITY, OR INTRINSIC VALUE beyond its stated purpose of entertainment, social interaction, community engagement, and cultural expression (e.g., as a digital collectible).
    • It does not grant any rights to participate in the governance or revenue of any project, nor does it represent any claim on assets, dividends, or distributions from the Promoters or any affiliated entity. Do not expect the Token to provide any practical use cases or benefits other than those explicitly described for its entertainment or community purpose.
  1. No Guarantees or Price Predictions.
    • NO GUARANTEES OF ANY KIND are made regarding the $ICED token, including its value, stability, liquidity, or future performance.
    • The Promoters and any affiliated parties DO NOT make any representations, warranties, or predictions regarding the future price or performance of the Token. Any statements made by community members or unaffiliated third parties regarding potential price movements, "potential," or future value are purely speculative, their own opinions, and should NOT be relied upon. Avoid hype and unsubstantiated claims.
  1. Technological Risks.
    • The $ICED token operates on blockchain technology. This technology is novel and subject to various inherent risks, including but not limited to:
      • Smart Contract Risks (if applicable): If $ICED relies on smart contracts, these may contain vulnerabilities, bugs, errors, or be exploited, leading to loss of Tokens or other adverse outcomes.
      • Blockchain Network Risks: The underlying blockchain network (e.g., Solana) may experience disruptions, forks, 51% attacks, high transaction fees, congestion, or changes that could impact the Token's functionality, accessibility, or value.
      • Wallet Security and Private Keys: You are solely responsible for the security of your digital wallet and private keys used to hold and transact $ICED. Loss or compromise of your private keys will result in the irreversible loss of your Tokens. The Promoters have no ability to recover lost Tokens.
      • Cybersecurity Risks: The Token, associated platforms, or your personal devices may be subject to hacking, phishing, malware, denial-of-service attacks, or other cyberattacks that could result in the loss of your Tokens or personal information.
  1. Market and Liquidity Risks.
    • The market for meme coins, including $ICED, is often characterized by low trading volumes and high price volatility.
    • There is NO GUARANTEE that an active, liquid, or stable trading market for the Token will develop or be sustained. You may find it difficult or impossible to sell your Tokens when desired, or at a price you deem acceptable. Attempts to sell large amounts of Tokens may significantly depress the market price.
    • Markets for meme coins may be susceptible to manipulation by third parties (e.g., "pump and dump" schemes).
  1. No Endorsement by Regulatory Bodies.
    • The offering, sale, promotion, or distribution of the $ICED token does NOT imply endorsement or approval by the SEC, the Federal Trade Commission (FTC), or any other regulatory body or governmental authority.
  1. Specific Disclaimers for $ICED Programs (e.g., "Bounty Program," "Tracker Program," "ICED Agent").
    • Any programs, activities, or features associated with the $ICED token, such as any "Bounty Program," "Tracker Program," "Fire and Ice" events, or functionalities involving an "ICED Agent" or "Wrangler" (collectively "Programs"), are provided STRICTLY FOR ENTERTAINMENT, COMMUNITY ENGAGEMENT, AND CULTURAL EXPRESSION PURPOSES ONLY.
    • Participation in these Programs DOES NOT constitute an investment. Any $ICED tokens or other items distributed through these Programs are NOT financial rewards, do not have guaranteed monetary value, and should not be expected to generate profit or financial return.
    • The mechanisms of these Programs, including any token distributions or burns linked to external data or events, are NOT designed or managed by the Promoters to increase the Token's value for the financial benefit of holders. Such mechanisms are part of the thematic entertainment and community experience. Any automation involved is for operational convenience and does not represent active management for financial gain.
    • You acknowledge that your participation in such Programs is voluntary, at your own risk, and for entertainment purposes only, without any expectation of profit derived from the efforts of the Promoters in managing these Programs.
  1. No Reliance on Information.
    • You should conduct your own thorough research and due diligence before acquiring $ICED tokens. Do not rely on any information, statements, or representations from the Promoters, their affiliates, community members, or any third parties that contradict these Risk Disclosures and Disclaimers.
  1. Jurisdictional Restrictions.
    • The $ICED token and any associated services are not offered to, and may not be acquired or used by, any person or entity that is a resident of, or located or established in, New York State. By acquiring, holding, or using the Token, you represent and warrant that you are not a resident of, located in, or established in New York State.
      • Affirmation of Understanding: By acquiring, holding, or using $ICED tokens, you affirm that you have carefully read, fully understood, and accepted the $ICED Terms and Conditions and all the risks and disclaimers outlined in this "Risk Disclosure and Disclaimers" Statement. You acknowledge that you are participating at your own risk, for entertainment, social, and cultural purposes only, and not as a financial investment. You understand that you may lose your entire contribution and that you have no expectation of profit from the efforts of the Promoters.
